  3. “the Services” means the photography services described in the Quotation;
  4. “the Quotation” means the written quotation or booking confirmation issued by the Photographer;

02Booking and formation of contract

2.1
Prices published on this website are starting prices. The fee for each booking is set out in the Quotation.
2.2
A binding contract is formed when the Photographer confirms the booking in writing and the Client has paid the booking deposit in accordance with clause 3. The date of the Shoot is not reserved until then.
2.3
The Client confirms acceptance of these Terms and Conditions when making an enquiry through this website and again on paying the deposit.
2.4
Any additional services, time, locations or travel beyond the Quotation must be agreed in writing and may be charged additionally.

03Fees and payment

3.1
A non-refundable booking deposit of 25% of the total fee is payable to reserve the date of the Shoot, subject to the Consumer’s rights under clause 5.
3.2
The balance is payable within seven days of the Shoot. The full set of Images will be released upon receipt of payment in full.
3.3
For business Clients, the Photographer may, at their discretion, invoice the full fee after the Shoot, payable within fourteen days of the invoice date.
3.4
Payment may be made by bank transfer or by card via a secure payment link.
3.5
The Photographer reserves the right to withhold delivery of the Images, and any licence to use them, until all sums due have been paid.

04Cancellation and rescheduling

4.1
If the Client cancels more than fourteen days before the Shoot, the deposit is retained and no further sum is payable.
4.2
If the Client cancels fourteen days or fewer before the Shoot, 50% of the total fee becomes payable, reflecting the reservation of the date and other work declined.
4.3
The Client may reschedule the Shoot once without charge on giving at least seven days’ written notice, subject to the Photographer’s availability. The deposit is transferred to the new date.
4.4
If the Photographer is unable to perform the Services due to illness, injury or emergency, the Photographer will notify the Client as soon as reasonably possible and will use reasonable endeavours to arrange a suitably experienced replacement photographer. If no replacement can be arranged, the Client will receive a full refund of all sums paid, or may rebook at no additional cost. The Photographer’s liability in such circumstances is limited to that refund.

05Consumer cancellation rights

5.1
Where the Client is a Consumer and the contract is concluded at a distance (for example by email or through this website), the Client may cancel within fourteen days of the contract being formed and receive a full refund, including the deposit, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
5.2
If the Consumer expressly requests that the Services begin within the fourteen-day cancellation period and then cancels, the Consumer will pay for the Services provided up to the time of cancellation.
5.3
Nothing in these Terms and Conditions affects the Consumer’s statutory rights, including those under the Consumer Rights Act 2015.

06The Client’s obligations

6.1
For events and performances, the Client is responsible for securing the Photographer’s access to the venue, any required photography permission or pass, and for informing the Photographer of any venue rules concerning photography.
6.2
The Client shall provide accurate timings and information reasonably required for the Shoot.
6.3
The Photographer reserves the right to suspend or end the Shoot if their safety is at risk or if they are subjected to abusive or threatening behaviour. In such circumstances the full fee remains payable.

07Delivery of Images

7.1
The Images will be delivered within five working days of a concert or event and within seven working days of a portrait session, unless otherwise stated in the Quotation. The Photographer will inform the Client promptly of any delay.
7.2
The number of Images is as stated in the Quotation. For portrait sessions, a minimum of fifteen edited Images will be supplied.
7.3
The selection and editing of the Images is at the Photographer’s professional and artistic discretion. Unedited (RAW) files are not supplied.
7.4
The Images are delivered by a private online gallery, which remains available for thirty days unless otherwise agreed. The Client is responsible for downloading and keeping copies of the Images within that period. The Photographer maintains an archive but does not guarantee to retain all Images indefinitely.

09The Photographer’s use of Images

9.1
The Photographer may use the Images for portfolio, promotional, website, social media and competition purposes.
9.2
Where the Client does not wish the Images to be used in this way, the Client must notify the Photographer in writing before the Shoot, and the Photographer will keep the Images private.

10Model releases and consent

10.1
Where Images are to be used for commercial purposes, the Client is responsible for obtaining any necessary consents or releases from individuals who appear in them, unless otherwise agreed in the Quotation.

11Limitation of liability

11.1
The Photographer will perform the Services with reasonable care and skill, and will back up all Images promptly after each Shoot.
11.2
The Photographer shall not be liable for any failure or limitation in the Services caused by circumstances beyond their reasonable control, including venue restrictions, lighting conditions, the conduct or timing of performers or guests, or adverse weather.
11.3
In the unlikely event that Images are lost, damaged or cannot be delivered due to equipment failure or other cause, the Photographer’s total liability shall be limited to a refund of the fees paid for the affected part of the Services.
11.4
The Photographer shall not be liable for any indirect or consequential loss.
11.5
Nothing in these Terms and Conditions excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited by law.

12Events beyond reasonable control

12.1
Neither party shall be liable for any delay or failure to perform their obligations caused by events beyond their reasonable control, including severe weather, illness, travel disruption, venue closure or government restrictions. In such cases the parties will agree an alternative date where possible, or any sums paid for Services not performed will be refunded.

13Complaints

13.1
Any concern regarding the Services or the Images should be raised in writing to hello@stillsonicmedia.co.uk within fourteen days of delivery. The Photographer will respond promptly and use reasonable endeavours to resolve the matter.

14Data protection

14.1
Personal data is processed in accordance with our Privacy Policy.

15General

15.1
These Terms and Conditions, together with the Quotation, form the entire agreement between the Photographer and the Client. Where the Quotation conflicts with these Terms and Conditions, the Quotation prevails.
15.2
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3
The Photographer may update these Terms and Conditions from time to time. The version in force at the date of booking applies to that booking.
15.4
These Terms and Conditions are governed by the law of England and Wales, and the courts of England and Wales shall have jurisdiction over any dispute.
